Power of Attorney for Share Transfer in the UAE

A power of attorney for share transfer UAE owners use lets you name an agent to sign the sale or transfer of your company shares when you cannot be in Dubai. You stay the owner until the transfer is signed. The agent only does what the document lists.

Three ways to get it notarised

In person with our in-house notary public

The notary public checks your original ID, reads the document, watches you sign and applies the seal. If you cannot sign, the law allows a fingerprint, and a nominee where illness or disability prevents both (Dubai Law No. 4 of 2013, Articles 30 and 31).

Home or office visit

We come to your home, hospital or office. Price on request, plus the Dubai private notary government fee of AED 1,000 per trip outside the place of work.

Online

UAE law lets a notary use IT tools in place of personal appearance (Federal Decree-Law No. 20 of 2022, Article 18). This suits an owner who is abroad. See the e-notary guide for the official channels.

Why owners use a power of attorney for a share sale

A share sale is usually agreed first and signed later. The signing needs the seller. If the seller is travelling, ill or living abroad, the agent signs instead.

Common reasons:

  1. The seller lives outside the UAE and the buyer is in Dubai.
  2. A partner exit is agreed, and the paperwork must be signed on a set date.
  3. The shareholder is a company whose signatory is not in the country.

What to write in it

The document must be specific. A general wording makes the receiving office hesitate.

  • The seller: full name as in the passport, nationality, passport and Emirates ID details.
  • The company: full name as on the trade licence and the licensing authority.
  • The shares: the percentage or number of shares, as shown in your company papers.
  • The buyer: name and passport details, if the buyer is already known.
  • The power: to sign the share transfer or sale agreement and the forms the licensing authority asks for.
  • Limits: a minimum price or a fixed price, if you want one. Without a limit, the agent may agree any price the document allows.
  • The end date: the law sets no fixed term. Choose a date that fits the deal.

Powers that go beyond ordinary management, such as selling an asset, need a special agency that names the act (Federal Decree-Law No. 25 of 2025, Article 870). Our special power of attorney page explains this.

Frequently asked questions

Can I sell my shares without being in Dubai?

You can give an agent a power of attorney to sign for you. The authority that registers the transfer decides what it accepts, so ask it which wording and form it wants.

Does the notary notarise the share transfer agreement too?

The notary can notarise a signed agreement between the parties. A notary cannot act on matters reserved to another authority (Dubai Law No. 4 of 2013, Article 21). Tell us what the agreement covers and we will say what can be done.

Can the agent also be the buyer?

Do not assume so. One person would then sit on both sides of the deal, so ask the receiving authority before you rely on it. Send us the facts and we will review the wording.

Do I need an Arabic version?

A Dubai notary expects an Arabic text alongside. We arrange it with a legal translator.

How do I cancel it?

You revoke it in writing and tell the agent and every office holding a copy. Call or WhatsApp us and we will prepare the revocation.
