Power of Attorney for Company Liquidation in Dubai
A power of attorney for liquidation Dubai owners sign lets an agent handle the closing of a company for them. The agent can sign forms, deal with offices and follow the steps while the owner is somewhere else.

Three ways to get it notarised
In person with our in-house notary public
The notary public checks the signatory's original ID, reads the document, watches the signatory sign and applies the seal.
Home or office visit
We come to your office, home or hospital. Price on request, plus the Dubai private notary government fee of AED 1,000 per trip outside the place of work.
Online
UAE law lets a notary use IT tools in place of personal appearance (Federal Decree-Law No. 20 of 2022, Article 18). An owner who lives abroad can sign this way. See our e-notary guide.
What this document is, and is not
Closing a company has two layers. The first is the company's own decision, taken by its owners under its own papers. The second is the work: forms, offices, payments and records. A liquidation power of attorney covers the second layer only.
That means:
- The decision to close comes from the owners, under the company's own papers, before the agent starts.
- The agent works only inside the list of powers you write.
- Offices dealing with the closing decide which steps and forms they require. Ask them early.

What to list in the power of attorney
The more exact the list, the fewer questions from the receiving office.
- The company and the principal: full name as on the trade licence and the licensing authority, and who gives the power.
- The agent: full name, nationality, passport and Emirates ID details.
- The tasks, one by one: for example "to sign and submit the forms for closing the company", "to close the company bank account", "to receive official letters for the company".
- The limits: for example no power to sell company assets unless named. Acts beyond management need a special agency that names them (Federal Decree-Law No. 25 of 2025, Article 870).
- The end date: the law sets no fixed term. Pick a date that gives the agent enough time.

We draft the document, check it against the licence and the MOA, and order the Arabic text. A Dubai notary expects an Arabic text alongside (Dubai Law No. 4 of 2013, Article 27).

The signatory signs before the notary, in person, at your location or online.

The agent takes the notarised document to the offices involved. If an office abroad needs it, we take care of the MOFAIC attestation.

Mistakes to avoid
Mistakes that get it refused
- The tasks are written as "anything needed". Offices want named powers.
- The signatory has no written authority in the MOA or a resolution.
- The company name is not the one on the licence.
- The power of attorney is signed before the owners have decided to close, so the document contradicts the company's own papers.

Frequently asked questions
Can an agent liquidate my company for me?
An agent can carry out the tasks you name in a notarised power of attorney. The decision to close, and the steps the offices require, come from the company's own papers and those offices.
Does the notary handle the liquidation itself?
No. The notary public notarises the document. A notary cannot act on matters reserved to another authority (Dubai Law No. 4 of 2013, Article 21).
Who should sign for the company?
The person your MOA or resolution authorises to sign. If two partners must sign together, both attend.
How do I stop the agent?
You revoke the power of attorney in writing and tell the agent and every office that holds a copy. Call or WhatsApp us and we will prepare the revocation.
