The notary public checks each signer's original ID and capacity, reads the resolution, watches the signers sign and applies the seal. Suits a small group who can attend together.

Home or office visit

Online

What a board resolution is used for

A resolution is the written record of a decision taken by the board of directors. A shareholder resolution records a decision taken by the owners. Offices ask for one when a person or company must show that the decision was properly made. Common uses:

  1. Appointing or removing a manager or director.
  2. Opening or closing a company bank account.
  3. Naming who may sign for the company.
  4. Approving a sale, a loan or a lease.
  5. Deciding to close the company.

Which signatures count depends on your memorandum of association. We check this with you before the appointment.

Board resolution format

A clear resolution has these parts, in this order:

  1. The company's full name and trade licence details.
  2. The date and place of the meeting, or the date it was signed without a meeting.
  3. The names of the directors or shareholders who took part.
  4. The decision, in plain words: who does what, and from when.
  5. A line naming the person who may sign related papers.
  6. The signatures, with name and capacity under each, and the company stamp.

Keep each decision in its own numbered paragraph. One page for one decision is easier for an office to read than a long document.

A Dubai notary expects an Arabic text alongside an English document (Dubai Law No. 4 of 2013, Article 27). We translate it with a legal translator.

  • A resolution that names no date.
  • Changes written on the page after the notary has read it.

Does a board resolution have to be notarised?

It depends on who asks for it. A bank or a licensing office may ask for a notarised copy. Ask the office what it accepts, then tell us.

Can directors sign in different places?

Yes, where the notary and the receiving office accept online signing. Federal Decree-Law No. 20 of 2022, Article 18 lets a notary use IT tools in place of personal appearance. Tell us where each director is.

Is a shareholder resolution notarised the same way?

Yes. The notary public checks the signers and seals the document in the same way. The signers are the shareholders instead of the directors.
