Sales and Assignment Contracts in Dubai

Sales and assignment contracts record that one party sells or hands over something to another. In Dubai the common cases are company shares, a shop business and a marine vessel. The parties sign before a notary public, who checks identity and consent and seals the contract.

Three ways to get it notarised

In person with our in-house notary public

The notary public checks the original ID of the seller and the buyer, reads the contract, watches both sign and applies the seal.

Home or office visit

We bring the notary public to you, so seller and buyer sign in one place. Price on request, plus the Dubai private notary government fee of AED 1,000 per trip outside the place of work.

Sale and assignment: what is the difference

  • A sale contract says the seller sells and the buyer pays a price.
  • An assignment says the owner hands over a right or an interest to another person, for example a partner's share in a company.

Many deals use both ideas in one document. We read your facts and draft the right wording.

What is sold

Company shares

The seller transfers shares in a company to the buyer. The contract names the company, the number or percentage of shares and the price. If a partner cannot attend, a share transfer power of attorney may allow an agent to sign.

A shop or business

The contract names the shop, its trade licence, what goes with it (stock, fittings, the lease) and the price.

A marine vessel

The contract names the vessel and its registration details, the seller, the buyer and the price. A vessel may be registered with a separate authority. That authority's own rules decide what else you need, so tell us early who it is.

What a notary cannot handle

A private notary cannot handle real property rights or matters reserved to another authority (Dubai Law No. 4 of 2013, Article 21). Ask the office that registers property.

The Ministry of Justice also runs an online service for writing and authenticating contracts and deeds, such as sale contracts, signed with UAE PASS. Ask us if it fits your deal.

Documents to bring

A Dubai notary expects an Arabic text alongside an English contract (Dubai Law No. 4 of 2013, Article 27). We translate it with a legal translator.

  • The draft contract, or the main terms agreed.
  • Original Emirates ID or passport of the seller and the buyer.
  • Proof the seller owns what is being sold: share certificate, memorandum of association, trade licence or vessel papers.
  • The trade licence of each company party.
  • A power of attorney, where one person signs for another.

Mistakes that slow a signing

  • The seller's name differs between the contract and the ownership papers.
  • The price or the number of shares is missing or unclear.
  • A co-owner or partner has not agreed.
  • The contract describes the item loosely, for example without the vessel details or the shop name.

Frequently asked questions

Can you notarise a share transfer agreement?

Yes. The notary public checks the seller and the buyer and seals the agreement. Whether the company's licensing office needs more is a question for that office. Ask them, then tell us.

Can the seller sign from abroad?

Possibly, online or by power of attorney. It depends on the notary and the receiving office. Tell us where the seller is.

Do I need a lawyer for the price and terms?

The notary does not negotiate the deal. If the terms are complex, ask a lawyer to review them before signing.

Can you notarise a sale of land or a flat?

No. A private notary cannot handle real property rights (Article 21).
