Annulment of Memorandum of Association in Dubai (MOA Termination)

An annulment of memorandum of association is a written agreement in which the partners cancel the MOA that set up their company. People also call it MOA termination. We draft the annulment, check it against your MOA and take it to our in-house notary public for signing.

Home or office visit

We come to your home, hospital or office. Price on request, plus the Dubai private notary government fee of AED 1,000 per trip outside the place of work.

Online

A partner who is abroad can sign online. UAE law lets a notary use IT tools in place of personal appearance (Federal Decree-Law No. 20 of 2022, Article 18). See the e-notary guide.

What an annulment does and does not do

The annulment records that the partners agree to end the MOA. It is the partners' own agreement.

It does not, by itself:

  • Settle what each partner is owed or owes.
  • Close the company's licence or bank accounts.
  • Free anyone from duties to a third party.

Those matters follow the company's own papers and the rules of the authorities involved. If your company is being closed, see power of attorney for liquidation for how an agent can carry out the closing tasks. For questions about liability or partner rights, speak to a lawyer. A notary cannot act on matters reserved to another authority (Dubai Law No. 4 of 2013, Article 21).

What to write in the annulment

  • The company: full name as on the trade licence and the licensing authority.
  • The MOA: its date and any addendum, so it is clear which document ends.
  • The partners: full names as in passports, with ID details.
  • The agreement: a plain statement that all partners agree to annul the MOA, and from what date.
  • Accounts and assets: how the partners settle accounts between them, if they have agreed it.
  • Signatures: every partner, or the agent named in a notarised power of attorney.

Who must sign

Every partner who is party to the MOA should sign. If one partner is abroad, that partner can sign online or send an agent with a notarised power of attorney that names this act. See company power of attorney and special power of attorney.

If a partner cannot sign, the law allows a fingerprint, and a nominee where illness or disability prevents both (Dubai Law No. 4 of 2013, Articles 30 and 31).

Is MOA annulment the same as closing the company?

No. The annulment ends the MOA between the partners. Closing the company involves the licensing authority and other offices. Ask us what we can do for your case.

Do all partners have to agree?

An annulment is the partners' joint agreement, so every partner should sign. Check your MOA, because it may say how such a decision is taken.

Can partners sign from abroad?

Yes. A notary can use IT tools in place of personal appearance. We arrange the online sitting.

Is annulment different from an amendment?
